Terms of Use

These Terms of Use apply to the Virgol mobile app, website, subscriptions, and related services. Virgol is provided by Ehsan Nikaeen, trading as Virgol in the United Kingdom. By creating an account or using Virgol, you agree to these terms.
Eligibility and accounts
You must be at least 18 and legally able to enter into a contract. You are responsible for information submitted through your account, keeping your login and devices secure, and promptly telling us about suspected unauthorised access. Do not share an account in a way that bypasses subscription limits or security controls.
The service
Virgol provides tools for business administration, including clients, quotes, invoices, payments, expenses, materials, files, receipts, reports, reminders, and work tracking. Features may differ by platform, device, location, subscription, or app version. We may improve, replace, or discontinue features, but will act reasonably where a material change affects a paid service.
Virgol Pro subscriptions
Virgol Pro may be offered as an auto-renewable subscription. Options may include monthly, three-month, or yearly plans. The product, duration, total price charged, any introductory offer, and renewal terms shown by the app and store purchase sheet before confirmation form part of your purchase.
Billing and cancellation
Purchases are processed by the Apple App Store or Google Play under the terms of the relevant store. A subscription renews automatically at the displayed price and period unless cancelled through your store account settings before renewal. Deleting Virgol or your Virgol account does not itself cancel a store subscription. Virgol cannot directly cancel it on your behalf.
Billing questions, cancellation, refunds, and purchase restoration are subject to the applicable store's rules and your statutory rights. Nothing in these terms limits rights that cannot lawfully be excluded.
Business records
You are responsible for checking that invoices, quotes, dates, prices, tax values, payment records, OCR suggestions, files, and business details are complete and accurate before sending, filing, purchasing, or relying on them. You remain responsible for your business records, taxes, compliance, backups, customer communications, purchases, and professional decisions. Virgol is an administration tool and does not provide legal, accounting, tax, financial, regulatory, or professional advice.
Your content and client information
You retain ownership of information and files you submit. You give Virgol permission to host, process, reproduce, and transmit that content only as needed to operate, secure, support, and improve the service or as otherwise described in the Privacy Policy. You confirm that you have the rights and lawful basis needed to use the content and client information you add. You are responsible for responding to your clients' data-protection requests where you control their information.
Acceptable use
Do not upload unlawful, infringing, malicious, or misleading content; misuse customer information; attempt to access another user's account or data; probe or circumvent security or subscription controls; interfere with the service; use automated access that creates unreasonable load; or use Virgol for fraud or unlawful activity. We may restrict or suspend access where reasonably necessary to protect users, comply with law, investigate misuse, or prevent harm.
Our intellectual property
Virgol, its software, design, branding, and content are owned by us or our licensors. These terms give you a personal, limited, non-exclusive, non-transferable, revocable right to use the service for its intended business purpose. They do not transfer ownership or permit copying, reselling, reverse engineering, or creating a competing service except where the law expressly permits it.
Availability and changes
We aim to provide a reliable service but do not promise uninterrupted or error-free operation. Internet, device, app-store, and third-party service failures can affect availability. We may perform maintenance and issue security or compatibility updates. You should keep independent copies of records that are important for legal, tax, safety, or business continuity purposes.
Ending use of Virgol
You may stop using Virgol and request account deletion at any time. Store subscriptions must be cancelled separately. We may suspend or terminate access for a serious or repeated breach, unlawful use, security risk, non-payment, or where required by law. Where reasonable, we will provide notice and an opportunity to remedy the issue.
Responsibility and liability
Virgol is provided with reasonable care and skill. To the fullest extent permitted by law, we are not responsible for losses caused by inaccurate information entered or approved by you, failure to maintain necessary independent records, actions of app stores or other third-party services, or events outside our reasonable control.
We do not exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your mandatory consumer rights. If you use Virgol wholly or mainly for business purposes, our total liability arising from the service in any 12-month period will not exceed the greater of £100 or the subscription fees you paid for Virgol during that period. This cap does not apply to liability that cannot legally be limited.
Apple standard EULA
For iOS users, Apple's standard licensed application end user licence agreement applies where relevant: Apple Standard EULA.
Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that if you are a consumer living elsewhere in the United Kingdom or another country, you retain any mandatory protections and rights to bring proceedings available under the laws that apply to you.
Changes to these terms
We may update these terms to reflect changes to Virgol, law, security, or store requirements. The updated terms and date will be published here. We will provide reasonable additional notice where a material change affects an active paid service. Continuing to use Virgol after the effective date means the updated terms apply, subject to your mandatory rights.
